STANDARD TERMS AND CONDITIONS FOR MANUFACTURING PURCHASES IN THE SEAFOOD INDUSTRY

  1. INTRODUCTION AND PURPOSE
    These standard terms and conditions apply to all manufacturing purchases that FabriQ Innovation AS supplies to the aquaculture industry, including custom-made halls, technical textiles and floating structures. The terms and conditions govern the relationship between seller and buyer in the B2B market, and are adapted to projects with manufacturing according to the buyer's specifications.

  2. DEFINITIONS
    - Seller: FabriQ Innovation AS
    - Buyer: The customer who places the order
    - Manufacturing purchase: Purchase where the product is customized to the buyer's specifications
    - Product: Physical goods and solutions provided by FabriQ and manufactured by affiliates
    subcontractors

  3. CONCLUSION OF AGREEMENT
    A binding agreement is deemed to have been entered into by a signed contract or written order confirmation. Changes must be in writing and confirmed by both parties.

  4. PRODUCTION AND DELIVERY
    Delivery is EXW or FCA, by further agreement. Delivery time is indicative unless otherwise specifically agreed. Buyer is responsible for necessary permits and reception capacity.

  5. PRICE AND PAYMENT
    All prices are excl. VAT, shipping and any fees. The standard payment deadline is 14 days net from the invoice date. Late payment will incur interest in accordance with the law.

  6. RISK TRANSFER AND PROPERTY RIGHTS
    Risk passes to the buyer upon delivery according to Incoterms. Title remains with the seller until full payment has been received.

  7. DELAY AND DEFICIENCY
    Delay does not give the right to cancel unless it is significant. Complaints must be made in writing within 7 days of receipt. In the event of defects, correction, replacement or a proportional price reduction will be provided.

  8. LIMITATION OF LIABILITY
    The seller disclaims liability for indirect losses, operating losses, loss of use, etc. Any liability is limited to the invoiced value of the product in question.

  9. FORCE MAJEURE
    Neither party is responsible for circumstances beyond their reasonable control, including weather conditions, transportation disruptions, strikes, war, pandemics, or supplier failures.

  10. CHOICE OF LAW AND JURISDICTION
    Norwegian law applies. Disputes shall be resolved amicably. If negotiations fail, Bergen District Court shall be the venue.

  11. INDUSTRY-SPECIFIC ADAPTATIONS
    Products shall, if relevant, meet requirements according to NS 9415 and be adapted for use at sea and in demanding climatic conditions. The buyer is responsible for correct use and maintenance according to the installation instructions.
